Terms of Service
These Terms of Service (the "Terms") are a contract between the company operating AcqoraGX ("AcqoraGX", "we", "us") and the business that creates a AcqoraGX workspace or uses the AcqoraGX CRM and dialer (the "Customer" or "you"). They govern your use of the AcqoraGX websites, applications, APIs and related services (the "Service"). Our Privacy Policy, Acceptable Use Policy ("AUP"), Data Processing Addendum ("DPA") and AI data notice are part of these Terms.
Please read Sections 6 (Calling and texting laws), 18 (Disclaimers), 19 (Limitation of liability), 20 (Indemnity) and 22 (Governing law) carefully. They describe responsibilities that rest with you and limit our liability.
1. Business use only; who may accept
The Service is for businesses and professionals, not consumers. By creating an account, clicking to accept, or using the Service you confirm that (a) you are at least 18 years old, (b) you are using the Service for business purposes, and (c) you have authority to bind the business named in the workspace. If you don't have that authority, or don't agree to these Terms, don't use the Service. The Service is designed for businesses in the United States and for calls and messages to United States numbers.
2. Definitions
- "Workspace" means an organization account in the Service. The person who creates it is its "Owner".
- "Users" means the people you allow to use your Workspace (owners, administrators and members in any role).
- "Customer Data" means data you or your Users submit to the Service or that the Service collects on your behalf, including contacts, leads, property records, notes, files, call recordings, message content, call and message metadata and skip-trace results.
- "Third-Party Services" means services we don't provide that you connect to the Service, such as telephone carriers, AI model providers, calendars, email services, e-signature services, data providers and storage.
- "Fees" means subscription fees, usage fees and any other charges described at checkout or in your order.
3. Accounts and security
You must give accurate account information and keep it current. Each User needs their own login; don't share credentials. You are responsible for everything done under your Workspace and your Users' logins, for choosing roles and permissions, and for removing Users who should no longer have access. Keep passwords and API keys confidential. Tell us right away at [LEGAL_CONTACT_EMAIL not set] if you believe your account or credentials have been compromised. We may require email verification, identity verification, password resets or other security steps, and we may sign out sessions or revoke keys to protect the Service or your account.
We keep a tamper-evident record of account security events (such as sign-ins, password changes, role changes and acceptances of these Terms). It is described in our Privacy Policy.
4. The Service
Subject to these Terms and payment of applicable Fees, we grant you a non-exclusive, non-transferable right during your subscription to access and use the Service for your internal business purposes. We may improve, change or discontinue features. If we discontinue a material feature you've paid for, we'll give reasonable notice where practical. Features labeled "beta", "preview" or similar are provided as-is, may change or be withdrawn, and are excluded from any service commitments.
5. Your own provider accounts and credentials
Many features work through accounts you hold with Third-Party Services ("bring your own"), for example your own Twilio, Telnyx, SignalWire, Plivo or Vonage account for numbers, calls and texts, and your own Anthropic, OpenAI, Google or compatible AI provider account for AI features. When you connect one:
- You authorize us to store the credentials you provide (encrypted) and to call that provider's APIs on your behalf to deliver the features you use, including creating applications or API keys in your provider account, configuring webhooks for numbers you select, placing calls, sending messages, retrieving recordings and running AI requests.
- Your relationship with that provider is governed by its terms, not ours. You pay that provider directly for its charges (for example carrier minutes, message fees, number rental, carrier registration fees and AI usage), and you are responsible for complying with its policies.
- We are not responsible for Third-Party Services, their availability, charges, data handling, or changes they make that affect the Service.
- You can disconnect a provider at any time in the app. We then delete the stored credentials and, where the provider allows, revoke the keys or applications we created.
Where we provide a service ourselves (for example a phone number from an AcqoraGX-managed account, platform skip-trace credits or platform DNC scrubbing), it is billed by us under Section 7.
6. Calling, texting and recording laws
You are the caller and sender. You decide whom to call or text, when, how, with what content, and on what legal basis. You are solely responsible for complying with all laws and carrier rules that apply to your calls, messages, recordings and data, including the Telephone Consumer Protection Act (TCPA) and FCC rules, the Telemarketing Sales Rule and the National Do Not Call Registry, state telemarketing, mini-TCPA, do-not-call and call-recording laws, carrier and CTIA messaging requirements including A2P 10DLC registration, the CAN-SPAM Act, the Fair Housing Act, and real-estate licensing laws. The Acceptable Use Policy sets out minimum requirements.
The Service includes compliance aids such as calling-hour settings, quiet hours, do-not-call flags and scrubbing, opt-out handling and a recording announcement. They are tools, not legal advice, and they don't guarantee compliance. Their accuracy depends on the data and settings you provide and on third-party data sources. You must review your settings and practices with your own counsel.
7. Fees, usage and taxes
- Subscriptions. Plans and prices are shown at checkout. Subscription Fees are charged per active User ("seat") unless your order says otherwise. Adding or removing Users changes the seat quantity and may result in prorated charges or credits.
- Usage and overage. Some services are metered, such as calling minutes, text messages and answering-machine detection on AcqoraGX-provided numbers, and skip-trace lookups beyond included credits. Usage is charged at the rates published in the app or your order and is billed in arrears, usually on your next invoice. Prepaid credit packs are consumed as you use them and don't expire while your subscription is active unless the offer says otherwise.
- Payment. Payments are processed by Stripe. You authorize us and Stripe to charge your payment method for all Fees when due. If a payment fails we may retry it, and if it remains unpaid we may restrict calling, texting, skip trace and other paid features until it's resolved.
- Taxes. Fees exclude taxes. You're responsible for sales, use, VAT and similar taxes (other than taxes on our income). Where required, we will collect them.
- Price changes. We may change prices with at least 30 days' notice. Changes take effect at your next renewal.
- Disputes. Tell us about any billing dispute within 60 days of the charge. Please contact us before filing a chargeback so we can help.
8. Free trials
We may offer a free trial (currently 14 days) on a Workspace's first subscription. One trial per business. Unless you cancel before the trial ends, your subscription starts and your payment method is charged automatically at the end of the trial. We may limit features or usage during a trial, and we may end trials that we believe are being abused.
9. Automatic renewal and cancellation
Subscriptions renew automatically for successive periods equal to your billing interval (monthly or yearly) at the then-current price unless you cancel. You can cancel at any time in the billing Customer Portal (Plans & billing in the app) or by contacting us. Cancellation takes effect at the end of the current billing period; you keep access until then, and no further subscription Fees are charged after that. Usage incurred before the end of the period is still payable. Downgrades take effect at the next renewal unless the app says otherwise.
10. Refunds
Fees are non-refundable and there are no refunds or credits for partial periods, unused seats or unused features, except: (a) where required by law; (b) if we terminate the Service for convenience or discontinue it, in which case we refund prepaid Fees for the unused part of the period; (c) for amounts we charged in error and that you report within 60 days; and (d) unused prepaid skip-trace credit packs, which can be refunded on request within 14 days of purchase if none of the pack's credits have been used. Refunds of credit packs remove the refunded credits.
11. Identity verification
To reduce fraud and abuse, some features (for example AcqoraGX-provided numbers, multi-line dialing and high-volume texting) require a Workspace owner to complete identity verification through Stripe Identity. We receive the verification result and, where available, the verified name; Stripe processes the document and selfie under its own terms. We may decline or revoke access to these features if verification fails or we suspect misuse.
12. Customer Data
As between you and us, you own Customer Data. You grant us a worldwide, limited license to host, copy, process, transmit and display Customer Data as needed to provide, secure and support the Service, to comply with law, and as described in Section 14 (learning program). Our handling of personal data in Customer Data is governed by the DPA, in which you are the controller (or "business") and we are your processor (or "service provider").
You are responsible for Customer Data: its accuracy and legality, the sources you obtained it from (including purchased lists, lead vendors, skip-trace results and public records), and having all notices, consents and rights needed to collect it, upload it and use it to call, text, email or record people. A phone number or email address obtained from a list, a skip trace or a public record is not consent to contact.
13. AI features
AI features generate suggestions such as call preparation, coaching, summaries, follow-up drafts and data extraction. They run on the AI provider you connect, or on models we provide. AI output can be wrong, incomplete or out of date, may not reflect the law in your jurisdiction, and is not legal, financial, tax or real-estate advice. You must review AI output before relying on it, before sending it to anyone and before making decisions about people. Don't use AI features to make decisions that produce legal or similarly significant effects on individuals (such as credit, housing eligibility or employment) without meaningful human review, and don't use them to impersonate a real person or to generate an artificial or prerecorded voice for calls without the consent the law requires. Requests you send to an AI provider you connected are also subject to that provider's terms.
14. Learning program
To improve the Service, "Help improve the AcqoraGX model" is on by default for every Workspace. While it's on, we capture AI requests and answers (with personal details masked by default), your team's feedback and corrections, and approved knowledge items, and we use them to evaluate and train AcqoraGX models and features. The Workspace owner can turn it off at any time in Integrations → AI; that stops new capture right away and excludes your Workspace's data from training datasets built afterwards. Models already trained can't "unlearn" data but are replaced over time. We don't use your contact lists, recordings or messages for training. Details, including what's collected, masking, licensing rules and retention, are in How AcqoraGX uses AI data. We own the models, improvements and aggregated or de-identified insights we create, and we won't use them to identify you or your contacts.
15. Call recordings
Call recording is a Workspace setting and is on by default with a spoken announcement ("This call may be recorded for quality assurance."). You decide whether to record, which announcement to play, and how long to keep recordings (730 days by default; adjustable in settings). Several states, including Washington and Florida, require the consent of everyone on the call. You are responsible for giving required notices, getting required consents and following the strictest applicable law when parties are in different states. Recordings made through your own carrier account are stored by that carrier; deleting them in the Service deletes them at the carrier where the carrier's API allows it.
16. Data retention, export and deletion
- During your subscription you can export contacts and other records from the app (for example CSV export) and through the API, and you can delete records at any time.
- After cancellation or termination you have 30 days to export your Customer Data. After that we may delete it. We delete or de-identify Customer Data within 90 days after the end of that window, except copies in rolling backups (overwritten in the ordinary course) and records we must keep by law (such as billing and tax records) or to establish, exercise or defend legal claims.
- Account deletion. You can ask us to delete your account at any time. Records of account security events are kept in a form that can no longer be linked to you after deletion (see the Privacy Policy).
17. Suspension
We may suspend or limit all or part of the Service, with notice where practical, if: (a) we reasonably believe you or your Users are violating the AUP or the law, including telemarketing, do-not-call, messaging or recording laws; (b) a carrier, regulator, the Industry Traceback Group or law enforcement reports or investigates traffic from your Workspace; (c) your use poses a security risk or could harm us, other customers or third parties; (d) Fees are past due; or (e) required by law. We will restore the Service once the issue is resolved. Suspension doesn't relieve you of paying Fees. We may terminate for repeated or serious violations.
18. Term, termination, disclaimers
18.1 Term and termination
These Terms apply while you use the Service. Either party may terminate for the other's material breach that isn't cured within 30 days of notice (10 days for non-payment). We may terminate immediately for serious AUP violations or illegal use. On termination your right to use the Service ends, unpaid Fees become due, and Sections 12, 16 and 18–25 survive.
18.2 Disclaimer of warranties
Except as expressly stated in these terms, the service, AI output, compliance aids, skip-trace and DNC data and third-party services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted or error-free operation. We do not warrant that the service will make your calls, messages or recordings lawful, that data from third parties is accurate or complete, or that calls and messages will be delivered.
19. Limitation of liability
To the fullest extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill or data, even if advised of the possibility; and (b) each party's total liability arising out of or relating to these terms or the service will not exceed the greater of the fees you paid to us in the 12 months before the event giving rise to the liability or one hundred U.S. dollars (US$100).
These limits don't apply to your payment obligations, your indemnity obligations, your breach of the AUP or Section 6, or liability that can't be limited by law.
20. Indemnity
By you. You will defend, indemnify and hold harmless AcqoraGX, its affiliates and their officers, employees and contractors from and against all claims, demands, regulatory actions, fines, penalties, damages, settlements, costs and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your or your Users' calls, texts, emails, recordings or other communications, including any actual or alleged violation of the TCPA, the Telemarketing Sales Rule, do-not-call rules, state telemarketing or recording laws, CAN-SPAM or carrier rules; (b) Customer Data and its sources, including lead lists and skip-trace results; (c) your breach of these Terms or the AUP; or (d) Third-Party Services you use with the Service.
By us. We will defend you against third-party claims alleging that the Service, as provided by us, infringes a United States patent, copyright or trademark or misappropriates a trade secret, and pay resulting damages finally awarded or agreed in settlement. This doesn't apply to claims arising from Customer Data, Third-Party Services, AI output, combinations with items we didn't provide, or use in breach of these Terms. If such a claim occurs we may modify the Service, obtain a license, or terminate and refund prepaid Fees for the unused period.
Process. The indemnified party must promptly notify the other, give reasonable cooperation and let the indemnifying party control the defense and settlement (a settlement that imposes obligations on the indemnified party requires its consent, not to be unreasonably withheld).
21. Intellectual property, restrictions and feedback
We and our licensors own the Service, including software, models, designs and documentation, and all improvements to them. No rights are granted except as stated in these Terms. You won't (and won't let anyone): copy, modify or create derivative works of the Service; reverse engineer it except where the law allows despite this restriction; access it to build a competing product; scrape it or use it beyond documented API limits; resell or sublicense it without our written agreement; remove proprietary notices; or test its security without our written permission.
If you send us suggestions or feedback, we may use them without restriction or obligation to you.
Confidentiality. Each party will protect the other's non-public information that it receives in connection with the Service with reasonable care, use it only to perform under these Terms, and disclose it only to people who need to know it and are bound by similar obligations, or where required by law.
22. Governing law and venue
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws rules, and by applicable U.S. federal law. The United Nations Convention on Contracts for the International Sale of Goods doesn't apply. Before filing a claim, each party will try in good faith to resolve the dispute informally for 30 days after written notice. The state and federal courts located in King County, Washington have exclusive jurisdiction, and each party consents to personal jurisdiction there, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information. To the extent permitted by law, each party waives trial by jury and agrees that claims will be brought only on an individual basis, not as a plaintiff or class member in any class or representative proceeding.
23. Changes to these Terms
We may update these Terms. For material changes we'll give at least 30 days' notice by email to Workspace owners or in the Service before they take effect, unless a change is required sooner by law or to address abuse. Each version is numbered and dated at the top of this page. Owners and administrators will be asked to review and accept updated Terms the next time they sign in; other Users will see a notice. If you don't agree, you may cancel before the change takes effect. Continuing to use the Service after the effective date means you accept the updated Terms.
24. General
- Entire agreement. These Terms (with the Privacy Policy, AUP, DPA, AI data notice and any order form) are the entire agreement about the Service and supersede prior agreements about it. If they conflict, an order form signed by both parties controls, then the DPA (for personal data), then these Terms.
- Assignment. You may not assign these Terms without our consent, except to a successor of your business that assumes them. We may assign them in a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, including carrier or provider outages.
- Notices. We send notices to the Workspace owner's email address. You send notices to [LEGAL_CONTACT_EMAIL not set].
- Export and sanctions. You won't use the Service in violation of U.S. export controls or sanctions.
- Electronic acceptance. Accepting electronically is a valid signature. We record which version you accepted and when.
- Other. If a provision is unenforceable, the rest remains in effect. A failure to enforce a provision isn't a waiver. The parties are independent contractors. There are no third-party beneficiaries.
